Thank you for your opinion. I believe that voting right, or its absence, could be considered a substantial difference. Class B holders having no voting rights will not have management influence no matter how big its Class B holdings are. Class B holders will never become controlling stockholders, that is a big difference. I wonder if some Fools out there know of a previous IRS ruling affecting this specific question?
