Is there any reason not to withhold shares?
I really should answer your specific question.
No, there is no good reason to pay cash for the withholding instead of letting the company withhold shares. That's because you intend to immediately sell the shares anyway.
If you had intended to hold the stock, the answer might be different. Maybe.
