You talking about the shares outstanding listed on front of the 10Q or K? Or the diluted shares in the income statement?

The actual shares outstanding only include them once they are actually converted ainto shares nd no longer bonds. The only place they are included if in the money is the diluted average shares for EPS calculations in the income statement.

So in your example, they are not in the share count at either price, but are in diluted shares for the EPS calc at $23, but not in below $22 at time of calculation. Hope that answers e question.
