Dose anyone have a clear definition of 'beneficial' shares? This is associated with a company issuing 'beneficial'(not prefered) shares to aquire 51% ownership in a startup company.

Could you be referring to "beneficial ownership"?

So common shares could be "beneficial," ownership of more than 5% of the shares (I believe it is 10% for company officers) is the determination.
