From my miniscule understanding, I think you are on track. Isn't this what is referred to as a "poison pill?" When you say it would allow management to buy up remaining outstanding shares at half price, who is going to sell them their shares at half price? Wouldn't that half to be a secondary issue rather than outstanding shares?
