In those types of deals, most often holders of both companies' stock are given newly issued stock in the "new" company. However behind the scene's it's possible that one of them is running the whole thing. If the market finds it out, the market will treat it as an acquisition. If the structure of the new company isn't clear, it's unlikely the stock price will jump.
