Joe -Any physical disk of Windows XP sold since the Spring of 2003 would have SP2.

Regarding the OEM copy in my Question #1 -- this is a shrinkwrap copy -- it is the same copy generally used with "white box" PCs. Its cost varies from store to store, but XP Pro typically costs in the range of $150 to $200. XP Home about $100.

I would appreciate you letting me know what you learn about the installation. I do know the Dell type of disk has historically worked as a "qualifying" version for an upgarde version of Windows.
