Companies such as Intuit, Microsoft and Siebel Systems have a board controlled by a majority of independent outsiders; a compensationcommittee composed solely of independent outside directors; a CEO whoserves on the boards of two or fewer other companies; directors whoreceive all or a portion of their compensation in stock; and non-employee directors who do not participate in the company's pensionplan, according to ISS and Salomon I believe you have something there. When the board is outside of the influence of insiders, then no funny business can happen, or at least it minimizes the chance of that happening.Thanks for the post.
