CNET Networks today announced that its Board of Directors has declared that a special meeting of the holders of CNET Common Stock will be held on Tuesday, October 17, 2000. The meeting will enable stockholders to vote on CNET Networks' acquisition of Ziff-Davis, Inc. (NYSE: ZD). Shareholders of CNET common stock as of the close of business on September 5, 2000 will be entitled to vote at the special meeting. A proxy statement will be mailed on or around September 8, 2000 to CNET shareholders of record. The meeting on October 17 will be held in the television studio at CNET Networks' San Francisco headquarters at 150 Chestnut Street.

As previously disclosed on July 19, CNET will acquire ZDNet to create a global leader in providing technology information and related services to businesses and individuals across multiple platforms. As a result of the acquisition, each share of Ziff-Davis, Inc. common stock will convert into 0.3397 shares of CNET common stock and each share of ZDNet common stock will convert into 0.5932 shares of CNET common stock. The parties expect to close the acquisition in the fourth quarter of 2000.
