In the annual proxy statement, a lot of companies this year, including PacSun, are hoping to issue a bazillion new shares to sell (or award) to employees, at prices below market value.

Am I the only one who thinks this is basically a ploy to grab share value away from investors and put it into the hands of executives? If so, would someone explain why such plans are in the stockholders' interest?
