Thanks for the reply. This is actually a deal that's going on right now between TDFX (3dfx) and NVDA(Nvidia). There may be an agreement as to what happens in the case of the split, but I haven't been able to find mention of it yet in the paperwork.

Yes, there was some cash in the deal, it was for in three stages: 1st 15 million was an initial payment, 2nd payment of 55 million was for dropping the lawsuit between the companies, and the third payment of 1 million shares Nvidia stock was dependant on TDFX settling with all its creditors such that NVDA had clear ownership of the intellectual property.

There is also the the ability for TDFX to get a partial cash payment on the shares at $50 a share, up to half of the the total shares, if tdfx needs the added cash to close out its debts.

Its a fairly convoluted deal actually, all designed to ensure NVDA has only the parts of TDFX it wants, and none of the headaches (such as supporting its customer base, or software support).
