Well, one question is why the Yachtman people want to do this. What are they getting out of it?

My guess is the managers of Yacktman Asset Management own the company, and want to "cash out"? Typical of such buyout contracts is that the fund managers would be required to stay with the company for a few years, in order to provide continuity (not scare off fund owners).
