It sounds to me like you would benefit because you're already in the 28% bracket (the rollover won't be pushing you out of the 15% bracket into this bracket) and you'll be able to take advantage of the fact that the Roth IRA doesn't require distributions after age 70-1/2. But read up on the issues before you decide.
