I just was looking over my proxy statement from CICI. I'm a little bit conflicted over how I should vote.

On the one hand it makes sense to allow for the issuing of 25M new shares, so the board can have the option to issue them as needed. I'm just a little bit skeptical, however, since there isn't a definate reason given. The stock price is low now anyway, why give the company the option to dilute the stock more? Or is this a setup for a split? I'm looking for answers; hopefully someone can help me out.
