On2 management and the Board of Directors are securing THEIR financial future, NOT YOURS.

THIS IS A BAD DEAL!

Please make sure to vote AGAINST both proposals at www.proxyvote.com.

There are MANY MANY shareholders already voting NO.  Google wants On2's technology because they know it is world class.  And Google knows technology!  They will take the tech and throw away the business.  Our shares are worth MUCH MUCH more than 60 pennies.  Google has validated On2's technology and the Board of Directors is trying to let them steal it to secure their own future.  They do not care about the shareholders!

PLEASE, PLEASE, VOTE AGAINST BOTH PROPOSALS!
